Coal India is moving ahead with the proposed listing of its subsidiary, South Eastern Coalfields Limited (SECL). The company filed its Draft Red Herring Prospectus (DRHP) with SEBI on November 1, 2026, marking an important step towards its IPO. The proposed listing could give public investors an opportunity to invest directly in one of India’s major coal-producing companies.
However, the South Eastern Coalfields IPO is still at the draft filing stage and is not yet open for subscription. Important details, including the price band and issue dates, are yet to be announced.
The article covers SECL’s proposed IPO, including its OFS structure, Coal India’s stake sale, the company’s financial performance, and its role in India’s coal sector. It also looks at the key details investors should check before the IPO opens.
What Is South Eastern Coalfields Limited?
SECL is a coal mining company based in Bilaspur, Chhattisgarh. It was set up in 1985 and is a wholly owned subsidiary of Coal India Limited. In simple terms, Coal India owns 100% of it today.
Most of SECL’s work is in Chhattisgarh and Madhya Pradesh. Its operations are concentrated in the Korba coalfield. Three big opencast mines, Gevra, Dipka and Kusmunda, produced about 126 million tonnes in FY26, which is 71.48% of its total output. An opencast mine is one where coal is dug from the surface, not from underground tunnels.
What Are the Key Details of the South Eastern Coalfields IPO?
Coal India plans to sell 66.81 crore shares, which is 10% of SECL’s existing equity. If the full offer goes through, its holding will fall to 90%. The shares have a face value of ₹2 each.
The whole issue is an Offer for Sale (OFS). There is no fresh issue of shares. An OFS simply means an existing shareholder sells some shares it already owns. SECL is not creating new shares to raise money.
So who gets the money? The proceeds go to Coal India, the selling shareholder, and SECL receives nothing from the offering.
In the DRHP, SECL says listing should improve its visibility and brand image and give a public market and liquidity for its shares. Liquidity means investors get an opportunity to buy and sell the shares on the stock exchange, although the actual level of trading will depend on market demand.
The DRHP, dated November 1, 2026, was filed with SEBI and submitted to BSE and NSE. The proposed IPO remains subject to applicable approvals, market conditions, and other considerations. The filing does not mean the IPO has received final approval or is open for subscription.
Why Is Coal India Selling Its Stake in SECL?
SECL is not a one-off. Coal India has been taking its subsidiaries to the stock market one by one. Bharat Coking Coal (BCCL) listed in January 2026, and CMPDI made its market debut in March. Mahanadi Coalfields filed its own DRHP on August 31, 2026.
Coal India’s chairman has said the company wants to complete the SECL and Mahanadi IPOs within FY27, as part of a plan to unlock value from its subsidiaries. That is a stated target, not a confirmed date.
Companies generally list subsidiaries to give investors a way to invest directly in them, and to let the market set a separate price for the business. That is a general explanation. Coal India has not given detailed reasons beyond the above for SECL specifically, so we should not guess further.
How Has SECL Performed Financially?
Here are the numbers from the DRHP.
| Particulars | FY25 | FY26 | H1 FY26 | H1 FY27 |
| Revenue from operations | ₹29,998.3 crore | ₹32,956.5 crore | ₹15,090.2 crore | ₹16,593.7 crore |
| Net profit | ₹4,540.4 crore | ₹4,754.5 crore | ₹1,140.9 crore | ₹2,174.3 crore |
H1 means April to September. Source: SECL DRHP dated November 1, 2026.
What do these mean? In FY26, revenue grew by about 9.9% over FY25, while net profit grew by about 4.7%. This suggests that the increase in revenue did not translate into an equally strong increase in net profit.
In the first half of FY27, revenue grew about 10% compared with the same months last year, while net profit rose about 91%, nearly doubling. That is a big jump, but it covers only six months and does not show that profit will keep rising at this pace. Investors should check the DRHP to understand what drove it.
SECL’s operating earnings (EBITDA) in FY26 were ₹7,423.77 crore. EBITDA measures a company’s operating earnings before interest, taxes, depreciation, and amortisation. It gives an idea of how much the business earns from its operations before these expenses are deducted.
On production, SECL mined 176.29 million tonnes in FY26, up 5.25% from 167.49 million tonnes in FY25, the highest growth among Coal India’s subsidiaries.
Why Is SECL Important to India’s Coal Sector?
SECL’s FY26 output was 16.94% of India’s total coal production. It is the second-largest coal-producing subsidiary of Coal India and contributes 22.95% of the parent’s output.
It also has a large amount of coal in the ground, but two terms are easy to mix up. Geological resources refer to the estimated quantity of coal present in the ground. Reserves are the portion considered economically recoverable under prevailing technical, economic, and regulatory conditions. As of April 1, 2026, SECL’s geological resources were about 47.55 billion tonnes, around 11.5% of India’s total. Its audited reserves were 4.61 billion tonnes.
Based on its FY26 production, the company’s reported reserves represent an estimated 26 years of production. Actual mine life will depend on extraction rates, operating conditions and regulatory clearances.
Coal remains a key fuel for power plants and heavy industry in India, which is why large producers matter. Under Coal India’s one-billion-tonne roadmap, SECL is expected to produce 245 million tonnes in FY30. That is a company plan, not a guarantee.
What Should Investors Watch Before the SECL IPO?
Once the full prospectus is available, these points deserve a close look:
- Growth quality: Check why FY26 profit grew slower than revenue, and what drove the sharp rise in H1 FY27 profit.
- Production: See whether output keeps rising and whether the three big Korba mines carry too much of the load. They account for over 70% of production.
- Debt and finances: The DRHP has the balance sheet. Read it before forming a view.
- Valuation: This can only be judged after the price band is announced.
- Policy and demand: Coal demand and government policy directly affect this business.
- Environmental and regulatory risks: Mining needs clearances, and climate rules can change.
- Coal India’s remaining stake: After a full 10% sale, Coal India would still hold 90%, so it stays firmly in control.
Read the DRHP’s risk factors section in particular. It lists the risks the company itself considers important.
What IPO Details Are Still Awaited?
None of these have been announced yet:
- Price band
- IPO opening and closing dates
- Lot size
- Final offer size and issue value
- Listing date
Conclusion
The proposed SECL IPO would give public investors a chance to own shares in one of Coal India’s major subsidiaries, subject to approvals and the final terms. The business is large, and its recent numbers look strong.
But a big company with good results is not automatically a good buy at every price. Wait for the price band, read the prospectus, and then decide whether the valuation makes sense for you.
